4Buyer Representations, Compliance & Assumption of Risk

• You are a qualified researcher or professional, or acquiring the products on behalf of a research institution, laboratory, or organization, and the products will be handled only by persons with the training and competence to handle research materials safely.
• You will not consume, ingest, inject, apply, administer, or otherwise use the products in or on any human or animal body, and you will not resell, distribute, or supply the products for such use.
• You are solely responsible for determining whether your purchase, possession, handling, and intended use of the products are lawful in your jurisdiction, and you will comply with all applicable laws and regulations.
• You will properly receive, label, store, handle, use, and dispose of the products in accordance with applicable law and accepted laboratory safety practices.
• You assume all risk, responsibility, and liability arising from your purchase, receipt, possession, handling, storage, use, misuse, and disposal of the products.

We reserve the right to refuse, limit, cancel, or investigate any order if we believe in our sole discretion that an order may be intended for an improper, unsafe, or unlawful purpose.

5General Conditions

We reserve the right to refuse service to anyone, for any lawful reason, at any time. You understand that your content (excluding payment card information) may be transferred unencrypted and may involve transmissions over various networks. Payment card information is always encrypted during transfer over networks.

We reserve the right to refuse or cancel any order you place with us. We may limit or cancel quantities purchased per person, per household, or per order. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors, or intended for an improper or unlawful purpose.

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Site. You agree not to engage in any fraudulent or deceptive payment activity and are responsible for any chargeback later determined to be invalid.

10Shipping, Title & Risk of Loss

Shipping timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, or other circumstances outside our reasonable control. Unless otherwise required by law, title and risk of loss for products pass to you upon our delivery of the products to the carrier.

18Limitation of Liability

To the maximum extent permitted by applicable law, in no case shall Guardian Health Agency or our owners, directors, officers, employees, affiliates, agents, or suppliers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Service or any product.

Our total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the total amount you paid to us for the product or order giving rise to the claim, or (b) one hundred U.S. dollars ($100).

19Indemnification

You agree to indemnify, defend, and hold harmless Guardian Health Agency and our affiliates, partners, owners, officers, directors, agents, and employees from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) your purchase, handling, use, or disposal of any product; or (d) any use of a product inconsistent with Sections 3 or 4.

20Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution first. Before initiating any formal proceeding, you agree to first contact us at info@legacyxpeps.com and give us at least thirty (30) days to attempt to resolve the dispute informally and in good faith.

Binding arbitration. Any dispute not resolved informally shall be resolved by final and binding arbitration administered by a recognized arbitration provider, conducted by a single arbitrator in Palm Beach County, Florida, or by remote means where available.

Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-out. You may opt out of this arbitration and class action waiver provision by sending written notice to info@legacyxpeps.com within thirty (30) days of the date you first accepted these Terms.

21Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to Section 20, you agree that the exclusive jurisdiction and venue for any dispute not subject to arbitration shall be the state and federal courts located in Palm Beach County, Florida.

22Termination

The obligations and liabilities of the parties incurred prior to the termination date survive the termination of these Terms. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Service, or by ceasing to use the Site.

If in our sole judgment you fail to comply with any term of these Terms, we may terminate these Terms at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

23Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity of any remaining provisions.

24Force Majeure

We will not be liable or responsible for any failure to perform, or delay in performance, caused by events outside our reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, supplier or carrier failures, utility failures, governmental action, or changes in law or regulation.

25Entire Agreement; Miscellaneous

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with any policies posted on the Site including our Returns Policy and Privacy Policy, constitute the entire agreement between you and us and govern your use of the Service.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
